Terms of Service

1. Eligibility

You must be at least the age of majority in your jurisdiction (and in any case at least 18 years old, or 16 where local law permits with appropriate consent) to use the Services. By using the Services, you represent that you meet these requirements and have authority to enter into these Terms.

2. The Services

Alton provides a decentralized social and creator-focused platform ecosystem, including pre-launch experiences such as waitlists and informational content. Features may change, be delayed, or be offered in beta. We do not guarantee uninterrupted or error-free operation. Nothing on the Services constitutes financial, investment, legal, or tax advice.

3. Waitlist and applications

Submitting a waitlist or early-access application does not guarantee admission, allocation, rewards, or any specific product access. We may accept, reject, or prioritize applications at our sole discretion. You agree that information you submit is accurate and that you will not misrepresent your identity or affiliation.

4. Accounts and security

If we provide accounts, magic links, or other authentication methods, you are responsible for safeguarding access to your email and devices. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security risk.

5. Acceptable use

You agree not to:

• Violate any law or third-party rights;
• Upload or transmit malware, spam, or deceptive content;
• Attempt to gain unauthorized access to our systems, other users, or data;
• Scrape, overload, or interfere with the Services except as allowed by robots.txt or written permission;
• Use the Services to harass, abuse, or discriminate;
• Reverse engineer or circumvent security or usage limits except where prohibited by law.

6. Intellectual property

The Services, including branding, logos, text, graphics, and software, are owned by Alton or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes unless we agree otherwise in writing.

You retain rights in content you submit, but you grant Alton a worldwide, royalty-free license to use, host, reproduce, and display such content as needed to operate, promote, and improve the Services and related programs (including waitlist communications and partner initiatives you opt into).

7. Third-party links and services

The Services may link to third-party sites, wallets, or applications. We are not responsible for third-party content or practices. Your use of third-party services is at your own risk and subject to their terms.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY TOKEN, REWARD, OR ECONOMIC OUTCOME WILL OCCUR.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You will defend, indemnify, and hold harmless Alton and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

11. Suspension and termination

We may suspend or terminate access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or harms Alton, users, or third parties. Provisions that by their nature should survive will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law requires otherwise. Exclusive jurisdiction and venue for disputes arising from these Terms or the Services shall be in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there. If you are a consumer in the EEA, UK, or another region with mandatory protections, you may have additional rights; nothing in this section limits non-waivable rights.

13. Changes

We may modify these Terms at any time. We will post the updated Terms and update the “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Services.

14. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference.

15. Miscellaneous

These Terms constitute the entire agreement between you and Alton regarding the Services and supersede prior agreements on the same subject. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
